1. Agreement
These Terms & Conditions ("Terms") are an agreement between you and Shaun Reiland, a sole proprietor doing business as Cobaltmaize ("Cobaltmaize," "we," "us," or "our"), governing your use of cobaltmaize.com, cobaltmaize.org, the ArcLight Pro app, and any related services (collectively, the "Services").
By using the Services you confirm that you are at least 18 years old (or the age of majority where you live), that you can enter into a binding contract, and that you accept these Terms. If you do not accept them, do not use the Services.
2. Our services
Cobaltmaize is a small studio. We offer:
- IT consulting and custom software development for businesses and individuals.
- Original artwork — paintings, photographs, and prints — created by Inna.
- Language teaching in English, Ukrainian, German, and Russian.
- Distribution of the ArcLight Pro app through the Apple App Store.
- Editorial information about humanitarian organizations supporting Ukraine.
3. Project engagements
Consulting, custom software, language lessons, and commissioned artwork are delivered under a separate written engagement letter, statement of work, or invoice that sets the scope, fees, milestones, and delivery terms. Where there is any conflict between that engagement document and these Terms, the engagement document controls for that engagement.
Until an engagement is in writing and accepted in writing by both parties, no work is committed and no fees are owed. Verbal estimates are non-binding.
4. Art and product purchases
Original artworks listed on the website are unique. When you purchase a piece we will confirm price, shipping, and delivery time in writing. Artworks ship from Ukraine; transit times vary and we will share tracking information when the piece is dispatched. Risk of loss passes to you on delivery to the carrier.
All sales of original art are final unless the piece arrives damaged. If a piece arrives damaged, contact us within seven (7) days of delivery with photographs and we will work with you on a replacement, repair, or refund.
5. ArcLight Pro app
ArcLight Pro is licensed, not sold, to you. Your license to use the app is granted by Apple under the Apple Media Services Terms and is subject to those terms. We are the licensor of the app; Apple is not a party to your license.
Apple is responsible for handling refund requests for App Store purchases through the App Store. We will support reasonable refund requests by responding to Apple if asked.
You may not reverse-engineer, decompile, or attempt to derive the source code of the app, except to the extent any such restriction is prohibited by applicable law.
6. Donate for Ukraine page
The Donate for Ukraine page lists humanitarian organizations we have researched and want to highlight. We do not collect, hold, or transmit donations on their behalf. Clicking through to a partner organization takes you to that organization's own website, where you transact directly with them under their terms and privacy practices. We are not responsible for how those organizations operate or how donations are used. We do not earn referral revenue from any organization listed.
7. Intellectual property
All content on the website — including artwork, photographs, written copy, branding, illustrations, and code — is owned by Cobaltmaize or our licensors and is protected by copyright, trademark, and other intellectual property laws. "Cobaltmaize," the cobalt-and-maize wordmark, and related logos are our marks.
You may view, print, and share links to public pages of the website for personal, non-commercial purposes. Any other use — including reproduction, redistribution, training of machine-learning systems, or creation of derivative works — requires our prior written permission. Original artwork sold to you grants you ownership of that physical piece; copyright in the work itself is retained by Inna unless transferred in writing.
8. Acceptable use
When using the Services you agree not to:
- Break the law or use the Services to break the law.
- Probe, scan, or test the security of the Services without our written permission.
- Scrape, mass-download, or systematically harvest content from the website.
- Submit content that is abusive, defamatory, infringing, or harmful.
- Interfere with the Services or attempt to gain unauthorized access to any account, system, or data.
9. Warranty disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, COBALTMAIZE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF CONTENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Information about humanitarian organizations is editorial and current as of the date of writing. We do our best to keep it accurate, but we are not the source of truth — please verify before donating.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, COBALTMAIZE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us in the twelve months immediately before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow these limits, so they may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless Cobaltmaize and Shaun Reiland from any claim, damages, liability, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Services in violation of these Terms, (b) your violation of any law, or (c) your violation of any third-party right.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including intellectual property, warranty disclaimer, limitation of liability, indemnification, and governing law — will survive.
13. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Massachusetts, without regard to conflict-of-laws principles. The exclusive forum for any dispute arising out of or relating to these Terms or the Services is the state or federal courts located in Worcester County, Massachusetts, and you consent to personal jurisdiction in those courts.
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full effect. Our failure to enforce any provision is not a waiver of that provision.
14. Changes
We may revise these Terms from time to time. The "Effective" date at the top of this page reflects the latest version. Your continued use of the Services after a revision means you accept the revised Terms.
